CANCOM SE: CANCOM successfully completes major step in acquisition of KBC Beteiligungs GmbH

Munich, 25 May 2023 - The Executive Board of CANCOM Group today signed the contribution agreement with the shareholders of KBC Beteiligungs GmbH after the elimination of the antitrust reservation, thus taking a major step in the acquisition of KBC Beteiligungs GmbH. The transaction is expected to be completed at the beginning of June with the entry of the implementation of the non-cash capital increase of the CANCOM Group in the commercial register, which was part of the transaction. Once the transaction has been completed, KBC Beteiligungs GmbH, together with its operating subsidiary K-Businesscom AG and its affiliated companies, which with their 1,650 employees generated total revenues of around €520 million and EBITDA of €28 million in the past financial year, will belong to the CANCOM Group. Depending on the CANCOM share price at the time of delivery of the shares to the sellers, the volume of the cash and share components of the transaction amounts to around €165 million. Furthermore, existing financial liabilities of K-Businesscom amounting to €37.5 million will be redeemed in the short term as part of the transaction. Part of the transaction is a capital increase against contribution in kind at CANCOM SE with the issue of 3.5 million new no-par value bearer shares to the shareholders of KBC Beteiligungs GmbH by utilizing the Authorized Capital I/2018. The transaction clearly strengthens the market position of both companies in the DACH region. Background: Every year, thousands of people worldwide die from incorrect medication in hospitals. On the wards, there is a high risk of mix-ups when medicines are dispensed at several points. Smart Medication is designed to eliminate this safety problem. "Too many errors still occur when medications are dispensed in hospitals - this gap must be closed quickly," says Priv.-Doz.
